Catherine Yin

Ms. Catherine Yin is a securities and corporate attorney with significant experience in U.S. securities regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934. She has led several initial public offerings and has broad experience in all aspects of capital markets transactions. As part of her financial services practice, Ms. Yin advises clients and supports them in launching investment vehicles such as hedge funds and venture capital funds, both for U.S. funds and master-feeder structures with offshore and onshore components. Additionally, as part of her securities and regulatory practice, Ms. Yin advises blockchain and cryptocurrency companies on compliance with the U.S. legal system, helping them de-risk their operations while still supporting their long-term vision.

In addition to her financial services and capital markets practices, Ms. Yin serves as a strategic advisor and trusted legal partner to startups and technology companies across various industries, providing guidance on matters such as ESOP structuring, corporate governance, capitalization strategies, and fundraising. She also assists founders in preparing for key negotiations and long-term growth. Ms. Yin is a firm believer in empowering entrepreneurs and business leaders by helping them navigate legal complexities, enabling them to transform their visions into actionable, sustainable business strategies.

Ms. Yin previously served as a senior attorney at a boutique securities law firm in New York City focused on taking companies public on Nasdaq and the NYSE; as Legal Counsel to a U.S. publicly reporting company; as an associate at a mid-sized securities law firm in New York, where she represented both investment banks and placement agents, as well as issuer companies, in front of both the SEC and FINRA; and as a legal intern in the Office of Chief Counsel, Division of Trading and Markets, at the U.S. Securities and Exchange Commission.
